Introduction.

Welcome to Joint Tax Board System. These Terms and Conditions contained on this Taxpayer Identification Number (“TIN”) Registration System (“JTB TIN System”), shall govern your use of this system, including all pages within (collectively referred to below as this “System”). These Terms apply in full force and effect to your use of this System. By using this System, you expressly accept all terms and conditions contained herein. If you disagree with any part of these terms and conditions, please do not use our System.

Intellectual Property Rights

Other than content you own, which you may have opted to include on this System, under these Terms, The Joint Tax Board owns all rights to the intellectual property and material contained in this System, and all such rights are reserved. You are granted a limited use only, subject to the restrictions provided in these Terms, for purposes of interacting with the material contained on this System

Restrictions.

You are expressly and emphatically restricted from all of the following:

• Publishing any System material in any media;
• Selling, sublicensing and/or otherwise commercializing any information and material contained in and obtained from the System;
• Publicly performing and/or showing any System material;
• Using this System in any way that is, or may be, damaging to this System;
• Using this System in any way that impacts user access to this System;
• Using this System contrary to applicable laws and regulations, or in a way that causes, or may cause, harm to the System, or to any person or business entity;
• Engaging in any data mining, data harvesting, data extracting or any other similar activity in relation to this System, or while using this System;
• Using this System to engage in any advertising or marketing;
• Certain areas of this System are restricted from access by you and The Joint Tax Board may further restrict access by you to any areas of this System, at any time, in its sole and absolute discretion. Any user ID and password you may have for this System are confidential and you must maintain confidentiality of such information.

Your Content.

In these Terms and Conditions, “Your Content” shall mean any text, images or other material you choose to provide on this System. With respect to Your Content, by providing it, you grant the Joint Tax Board a non-exclusive, worldwide, irrevocable right to use, reproduce, adapt, publish, translate and distribute it in any and all media, for the purposes of National security and public interest. Your Content must be your own and must not be infringing on any third party’s rights. The Joint Tax Board reserves the right to remove any of Your Content from this System at any time, and for any reason, without notice.

Limitation of liability.

In no event shall The Joint Tax Board nor any of its members and officers, be liable to you for anything arising out of or in any way connected with your use of this System, whether such liability is under contract, tort or otherwise, and The Joint Tax Board, including its members and officers shall not be liable for any indirect, consequential or special liability arising out of or in any way related to your use of this System.

Indemnification.

You hereby indemnify to the fullest extent The Joint Tax Board from and against any and all liabilities, costs, demands, causes of action, damages and expenses (including reasonable attorney’s fees) arising out of or in any way related to your breach of any of the provisions of these Terms and Conditions.

Severability.

If any provision of these Terms and Conditions is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms and Conditions unenforceable or invalid as a whole, and such provisions shall be deleted without affecting the remaining provisions herein.

Variation of Terms.

The Joint Tax Board is permitted to revise these Terms and Conditions at any time as it sees fit, and by using this System you are expected to review such Terms and Conditions on a regular basis to ensure you understand all terms and conditions governing use of this System.

Entire Agreement.

These Terms, including any legal notices and disclaimers contained on this System, constitute the entire agreement between The Joint Tax Board and you in relation to your use of this System, and supersede all prior agreements and understandings with respect to the same.

Governing Law & Jurisdiction.

These Terms will be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, and you submit to the non-exclusive jurisdiction of the Courts located in the Federal Republic of Nigeria for the resolution of any disputes.
